These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”) and Salk Health USA Inc., doing business as Bowery Clinic (“Bowery Clinic,” “we,” “our,” or “us”), together with Hoedebecke Clinic P.C., an independent professional corporation providing all clinical services. These Terms govern your access to and use of boweryclinic.com and any affiliated platforms, mobile applications, or communication systems (collectively, the “Site”).
By clicking acceptance or using the Site, you acknowledge and agree that these Terms form a binding legal agreement between you and Bowery Clinic. Bowery Clinic operates the Site and provides administrative and support services. Clinical services available through the Site are provided exclusively by Hoedebecke Clinic P.C., a separate professional medical entity, through its licensed healthcare professionals.
Supplemental terms or policies posted on the Site are incorporated herein by reference. We reserve the right to update these Terms at any time. By continuing to use the Site after revisions are posted, you accept the updated Terms.
Use of the Site is restricted to individuals 18 years of age or older.
Unless otherwise noted, all content, source code, databases, functionality, software, designs, audio, text, images, and graphics on the Site (“Content”), and trademarks or logos (“Marks”), are owned or licensed by Bowery Clinic and protected by applicable intellectual property laws.

By submitting payment information, you authorize Bowery Clinic to provide this information to third-party processors (e.g., Stripe) to complete the transaction.
All credit card, debit card, or other monetary transactions via Bowery Clinic occur through Stripe’s payment processing system. You acknowledge and agree to Stripe’s terms and privacy policy.
You consent to receive electronic communications and agree that electronic signatures and agreements satisfy legal writing requirements. You waive any rights requiring original signatures or non-electronic records.

These Terms, along with policies posted on the Site, constitute the full agreement between you and Bowery Clinic. Our failure to enforce rights does not waive them. If any provision is deemed unenforceable, it will not affect the remaining provisions.
Your use of the Site does not create a partnership, joint venture, or employment relationship between you and Bowery Clinic. These Terms will not be construed against the drafter.

Independent Medical Entity
Hoedebecke Clinic P.C. (“Medical Group”) is an independent professional corporation exclusively responsible for providing all clinical and telehealth services available through the Site. All medical evaluations, diagnoses, treatment decisions, prescriptions, and clinical advice are rendered solely by licensed healthcare providers of the Medical Group (“Healthcare Providers”).
Bowery Clinic as Management & Technology Services Provider
Salk Health USA Inc. d/b/a Bowery Clinic (“Bowery Clinic”) is not a medical practice and does not provide medical care. Bowery Clinic provides management, administrative, technological, and support services pursuant to a Management Services Agreement (“MSA”) with the Medical Group. Such services may include scheduling, communication tools, payment processing, non-clinical support, marketing, and platform functionality.
No Control Over Clinical Judgment
Bowery Clinic does not direct, supervise, or control the professional judgment of Healthcare Providers. The physician–patient relationship, if formed, exists solely between you and the Medical Group.
No Medical Advice from Bowery Clinic
Content on the Site, including text, graphics, emails, messaging, or educational materials, is not medical advice and should not be interpreted as such.
Separation of Roles
By using the telehealth features of the Site, you acknowledge and agree to the following:
Telehealth Services Provided by Hoedebecke Clinic P.C.
All telehealth medical evaluations, diagnoses and prescriptions (“Telehealth Services”) are provided exclusively by licensed healthcare providers employed or contracted by Hoedebecke Clinic P.C. (“Medical Group”).
Use of Electronic Communications
Telehealth Services may involve real-time audio, video, telephone, secure messaging, asynchronous communication, or digital transmission of medical records. You understand that your provider will not be physically present, and evaluation may be limited by the quality of transmitted information.
Nature and Purpose of Telehealth

Your provider may discontinue a telehealth session if they believe an in-person evaluation is necessary.
Alternatives to Telehealth
You may seek in-person medical care at any time and may decline or withdraw consent to telehealth without affecting your right to future treatment.
Confidentiality & Security
Telehealth communications will comply with applicable privacy laws. You agree to participate from a private environment and understand that Bowery Clinic cannot guarantee complete protection against unauthorized access.
Financial Responsibility
You agree to pay all fees associated with Telehealth Services. Charges may include:
Communication Consent
You consent to receive emails, text messages, and calls regarding scheduling, treatment, follow-up, payments, and general patient communications from Bowery Clinic and Hoedebecke Clinic P.C. at the contact information you provide. You acknowledge that SMS and email communications may not be fully secure.
Medication Disclosure Requirement
You agree to provide complete and accurate information regarding medications, supplements, and substances you are taking or have recently taken. Failure to disclose may increase the risk of adverse interactions. Neither Bowery Clinic nor the Medical Group is liable for harm arising from undisclosed medications or unpredictable drug reactions.
Emergency Protocol
Telehealth is not appropriate for emergencies.

Hoedebecke Clinic P.C. provides telehealth services only in states where its providers are licensed. Provider availability may change without notice.
Failure to Reach Provider
If you are unable to reach your provider via the Site or communication channels, you must seek care at an urgent care or emergency facility.

User acknowledges and agrees that any product or service offered on the Website is provided on an “as is” basis, and that User's use of any such product or service is at User's own risk.

To the extent that there are any products for sale on the Website, they are not FDA authorized or approved to prevent, treat, diagnose, mitigate, or cure any disease, ailment, or medical condition.

Bowery Clinic partners with licensed 503A compounding pharmacies that prepare medications pursuant to a patient-specific prescription issued by a licensed healthcare provider of Hoedebecke Clinic P.C. These compounded medications are intended for human use only when prescribed and are dispensed in accordance with applicable federal and state laws.
Compounded medications are not FDA-approved. They are prepared using FDA-registered ingredients and are subject to the quality and regulatory standards applicable to 503A pharmacies, but they have not undergone FDA review for safety or efficacy.
All medical information provided through the Site is for educational purposes and does not constitute medical advice unless provided directly by a licensed healthcare provider during a telehealth consultation.
Bowery Clinic reserves the right to refuse service or sale to anyone, for any reason.
HOLD HARMLESS.
By purchasing any product from Bowery Clinic or by using any product sold by Bowery Clinic, User agrees to hold Bowery Clinic harmless from any and all claims arising under contract, strict liability, negligence, or any other theory for harm related to the use or possession of any product.

ENTIRE AGREEMENT.
This Agreement constitutes the entire agreement between Bowery Clinic and User, superseding all prior understandings.
If any portion of these Terms is deemed unenforceable, the remainder shall remain in full force and effect.
Neither party is liable for inadequate performance caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, or supply chain disruptions.
