These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”) and Salk Health USA Inc., doing business as Bowery Clinic (“Bowery Clinic,” “we,” “our,” or “us”), together with Hoedebecke Clinic P.C., an independent professional corporation providing all clinical services. These Terms govern your access to and use of boweryclinic.com and any affiliated platforms, mobile applications, or communication systems (collectively, the “Site”).

1. AGREEMENT TO TERMS

By clicking acceptance or using the Site, you acknowledge and agree that these Terms form a binding legal agreement between you and Bowery Clinic. Bowery Clinic operates the Site and provides administrative and support services. Clinical services available through the Site are provided exclusively by Hoedebecke Clinic P.C., a separate professional medical entity, through its licensed healthcare professionals.

Supplemental terms or policies posted on the Site are incorporated herein by reference. We reserve the right to update these Terms at any time. By continuing to use the Site after revisions are posted, you accept the updated Terms.

Use of the Site is restricted to individuals 18 years of age or older.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise noted, all content, source code, databases, functionality, software, designs, audio, text, images, and graphics on the Site (“Content”), and trademarks or logos (“Marks”), are owned or licensed by Bowery Clinic and protected by applicable intellectual property laws.

Users are granted a limited, non-exclusive license to access and use the Site for personal, non-commercial purposes. No Content or Marks may be copied, distributed, published, or exploited for commercial purposes without our written consent.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. You have legal capacity to agree to these Terms;
  2. You are not a minor;
  3. You will not access the Site using automated means;
  4. You will not use the Site for illegal or unauthorized purposes;
  5. Your use does not violate applicable law.

We reserve the right to suspend or terminate your access for providing inaccurate information or violating these Terms.

4. PROHIBITED ACTIVITIES

Users may not use the Site for any purpose other than that for which Bowery Clinic makes it available. Prohibited actions include:

  • Data scraping or compiling data without permission
  • Attempting to obtain sensitive information
  • Interfering with Site security features
  • Harassing or harming other users
  • Submitting false reports or misusing support services
  • Unauthorized linking, framing, or automated access
  • Uploading viruses or harmful materials
  • Reverse engineering or copying Site software
  • Unauthorized commercial use
  • Attempting to impersonate another user
  • Violating any relevant law or regulation
  • Violations may result in termination of access.

5. USER GENERATED CONTRIBUTIONS

If the Site allows contributions, you represent that all content you submit:

  • Does not infringe third-party rights;
  • Is lawful, accurate, and not misleading;
  • Does not contain harmful, obscene, or abusive material;
  • Is not promotional spam;
  • Complies with applicable laws.

You grant Bowery Clinic permission to use contributions consistent with the Privacy Policy.

6. CONTRIBUTION LICENSE

You agree Bowery Clinic may access, store, and use your submitted information per our Privacy Policy. You retain ownership of contributions but agree not to pursue claims arising from our use of such content.

7. SUBMISSIONS

Any feedback, suggestions, or ideas provided to Bowery Clinic become our exclusive property without obligation to compensate you. You waive any claims to such submissions.

8. SITE MANAGEMENT

Bowery Clinic reserves the right to:

  • Monitor Site activity
  • Restrict access or remove content
  • Disable features where necessary
  • Take legal action for violations

9. PRIVACY POLICY

By using the Site, you accept our Privacy Policy and consent to the transfer and processing of your data in the United States.

10. TERM AND TERMINATION

We may revoke access to the Site at any time for violation of these Terms. We may also delete accounts or pursue legal remedies as necessary.

11. MODIFICATIONS AND INTERRUPTIONS

Bowery Clinic may update or discontinue Site features at any time. We are not liable for interruptions, downtime, or loss resulting from Site unavailability.

12. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware.

13. DISPUTE RESOLUTION

All disputes shall be resolved through binding arbitration per the American Arbitration Association rules, except where expressly excluded. Class actions and representative actions are not permitted.

Claims must be brought within one (1) year of the cause of action.

14. CORRECTIONS

We may correct typographical errors, inaccuracies, or omissions on the Site without notice.

15. DISCLAIMER

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

Bowery Clinic disclaims all warranties, including but not limited to:

  • Accuracy of content
  • Fitness for a particular purpose
  • Non-infringement
  • Reliability or availability of the Site

We are not liable for:

  1. Errors in content
  2. Personal injury or property damage
  3. Unauthorized access to servers/data
  4. Interruptions of service
  5. Viruses or harmful transmissions
  6. Loss or damage resulting from content or Site use

Bowery Clinic does not endorse third-party services advertised through the Site.

16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  1. Your use of the Site;
  2. Your breach of these Terms of Use;
  3. Any breach of your representations and warranties;
  4. Your violation of another party’s rights;
  5. Any harmful act by you toward another user of the Site.

We reserve the right to assume exclusive defense and control of any matter for which you must indemnify us. You agree to cooperate with our defense of such claims.

18. USER DATA

We maintain certain data you transmit to the Site for purposes of managing performance. However, you are solely responsible for the accuracy and preservation of your data. We are not liable for data loss or corruption.

19. PAYMENTS

You agree to be responsible for payment of all fees when due. When conducting transactions on the Site, you may be required to provide information such as credit card number, expiration date, and billing address. By submitting payment information, you authorize Bowery Clinic to provide this information to third-party processors (e.g., Stripe) to complete the transaction.

All credit card, debit card, or other monetary transactions via Bowery Clinic occur through Stripe’s payment processing system. You acknowledge and agree to Stripe’s terms and privacy policy.

20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive electronic communications and agree that electronic signatures and agreements satisfy legal writing requirements. You waive any rights requiring original signatures or non-electronic records.

22. MISCELLANEOUS

These Terms, along with policies posted on the Site, constitute the full agreement between you and Bowery Clinic. Our failure to enforce rights does not waive them. If any provision is deemed unenforceable, it will not affect the remaining provisions.

Your use of the Site does not create a partnership, joint venture, or employment relationship between you and Bowery Clinic. These Terms will not be construed against the drafter.

22A. MEDICAL SERVICES AND MANAGEMENT STRUCTURE

You acknowledge and agree to the following:

  1. Independent Medical Entity

    Hoedebecke Clinic P.C. (“Medical Group”) is an independent professional corporation exclusively responsible for providing all clinical and telehealth services available through the Site. All medical evaluations, diagnoses, treatment decisions, prescriptions, and clinical advice are rendered solely by licensed healthcare providers of the Medical Group (“Healthcare Providers”).

  2. Bowery Clinic as Management & Technology Services Provider

    Salk Health USA Inc. d/b/a Bowery Clinic (“Bowery Clinic”) is not a medical practice and does not provide medical care. Bowery Clinic provides management, administrative, technological, and support services pursuant to a Management Services Agreement (“MSA”) with the Medical Group. Such services may include scheduling, communication tools, payment processing, non-clinical support, marketing, and platform functionality.

  3. No Control Over Clinical Judgment

    Bowery Clinic does not direct, supervise, or control the professional judgment of Healthcare Providers. The physician–patient relationship, if formed, exists solely between you and the Medical Group.

  4. No Medical Advice from Bowery Clinic

    Content on the Site, including text, graphics, emails, messaging, or educational materials, is not medical advice and should not be interpreted as such.

  5. Separation of Roles

    • All clinical services: provided by Hoedebecke Clinic P.C.
    • All non-clinical services: provided by Bowery Clinic

23. TELEHEALTH CONSENT FORM

By using the telehealth features of the Site, you acknowledge and agree to the following:

  1. Telehealth Services Provided by Hoedebecke Clinic P.C.

    All telehealth medical evaluations, diagnoses and prescriptions (“Telehealth Services”) are provided exclusively by licensed healthcare providers employed or contracted by Hoedebecke Clinic P.C. (“Medical Group”).

  2. Use of Electronic Communications

    Telehealth Services may involve real-time audio, video, telephone, secure messaging, asynchronous communication, or digital transmission of medical records. You understand that your provider will not be physically present, and evaluation may be limited by the quality of transmitted information.

  3. Nature and Purpose of Telehealth

    Telehealth is used to facilitate remote healthcare delivery, including but not limited to:

    • Assessing, diagnosing, treating, or monitoring medical conditions
    • Ordering labs, imaging, or diagnostic tests
    • Prescribing medications when clinically appropriate
    • Providing follow-up care and treatment recommendations
  4. Risks and Limitations of Telehealth

    You acknowledge potential risks including, but not limited to:

    • Interruptions, delays, or technical failures
    • Unauthorized access due to technical limitations
    • Insufficient information for clinical decision-making
    • The possibility that telehealth may not be appropriate for all conditions

    Your provider may discontinue a telehealth session if they believe an in-person evaluation is necessary.

  5. Alternatives to Telehealth

    You may seek in-person medical care at any time and may decline or withdraw consent to telehealth without affecting your right to future treatment.

  6. Confidentiality & Security

    Telehealth communications will comply with applicable privacy laws. You agree to participate from a private environment and understand that Bowery Clinic cannot guarantee complete protection against unauthorized access.

  7. Financial Responsibility

    You agree to pay all fees associated with Telehealth Services. Charges may include:

    • Consultation fees
    • Prescriptions
    • Laboratory or diagnostic services
    • Membership or administrative fees
  8. Communication Consent

    You consent to receive emails, text messages, and calls regarding scheduling, treatment, follow-up, payments, and general patient communications from Bowery Clinic and Hoedebecke Clinic P.C. at the contact information you provide. You acknowledge that SMS and email communications may not be fully secure.

  9. Medication Disclosure Requirement

    You agree to provide complete and accurate information regarding medications, supplements, and substances you are taking or have recently taken. Failure to disclose may increase the risk of adverse interactions. Neither Bowery Clinic nor the Medical Group is liable for harm arising from undisclosed medications or unpredictable drug reactions.

  10. Emergency Protocol

    Telehealth is not appropriate for emergencies.

    If you experience:

    • Chest pain
    • Severe shortness of breath
    • Loss of consciousness
    • Suicidal thoughts
    • Stroke symptoms
    • Severe allergic reactions
    • Any other life-threatening symptom

You must immediately call 911 or present to the nearest emergency facility.

By proceeding, you acknowledge that you understand and voluntarily consent to the use of telehealth for medical services.

24. TELEMEDICINE TECHNOLOGY

Telemedicine involves the use of electronic communications to support clinical care provided by licensed healthcare professionals. Through the Site, telemedicine may include:

  • Two-way interactive video or audio
  • Secure messaging
  • Electronic transmission of medical records, photographs, or diagnostic data
  • Store-and-forward technologies
  • Remote monitoring devices
  • Digital intake forms and screening tools
  • Electronic health record documentation

The technology enabling telemedicine is owned, operated, or managed by Bowery Clinic as part of its management services agreement (“MSA”) with Hoedebecke Clinic P.C. All medical decisions are made solely by the Medical Group’s licensed healthcare providers.

Bowery Clinic is not responsible for:

  • Clinical decision-making
  • Treatment outcomes
  • Interpretation of medical data
  • Medical records generated by the Medical Group

Providers may rely on your self-reported information, transmitted documents, and remote assessments. You acknowledge these limitations.

25. POTENTIAL REACTIONS & EMERGENCY CARE

Telehealth may not be suitable for all medical issues. You acknowledge:

  1. Potential Adverse Reactions

    Side effects, allergic reactions, or complications may occur from:

    • Medications prescribed by the Medical Group
    • Changes in treatment plans
    • Underlying medical conditions
    • Incomplete or inaccurate information provided by you

    You understand that remote providers rely on the information you disclose and visible symptoms through electronic communication.

  2. Technology Failures

    Telehealth may be hindered by:

    • Internet or cellular disruptions
    • Hardware/software malfunctions
    • Delayed data transmission
    • Incomplete clinical information

    If technical problems prevent safe evaluation, your provider may instruct you to seek in-person care.

  3. Emergency Situations

    Bowery Clinic and Hoedebecke Clinic P.C. do not provide emergency medical services. If you experience an emergency, you must contact 911 or go to the nearest emergency room.

    Examples include:

    • Severe chest pain
    • Breathing difficulties
    • Sudden numbness or weakness
    • Uncontrolled bleeding
    • Severe allergic reactions
    • Confusion or altered consciousness
    • Suicidal ideation or intent
  4. Provider Availability & Licensing

    Hoedebecke Clinic P.C. provides telehealth services only in states where its providers are licensed. Provider availability may change without notice.

  5. Failure to Reach Provider

    If you are unable to reach your provider via the Site or communication channels, you must seek care at an urgent care or emergency facility.

26. USE AND DISCLAIMER OF INFORMATION

The use of the Website, and the purchase or use of any product or service offered on the Website, is subject to the following terms and conditions:

NO WARRANTY. Bowery Clinic makes no warranty, representation, or guarantee regarding the products or information contained herein. User acknowledges and agrees that any product or service offered on the Website is provided on an “as is” basis, and that User's use of any such product or service is at User's own risk.

NOT FDA APPROVED.

To the extent that there are any products for sale on the Website, they are not FDA authorized or approved to prevent, treat, diagnose, mitigate, or cure any disease, ailment, or medical condition.

Bowery Clinic makes no representations at all about the information provided on the Website. Any information contained on the Website is for educational purposes only and shall not be construed as advice, medical opinion, or fact.

26. USE AND DISCLAIMER OF INFORMATION

Bowery Clinic partners with licensed 503A compounding pharmacies that prepare medications pursuant to a patient-specific prescription issued by a licensed healthcare provider of Hoedebecke Clinic P.C. These compounded medications are intended for human use only when prescribed and are dispensed in accordance with applicable federal and state laws.

Compounded medications are not FDA-approved. They are prepared using FDA-registered ingredients and are subject to the quality and regulatory standards applicable to 503A pharmacies, but they have not undergone FDA review for safety or efficacy.

All medical information provided through the Site is for educational purposes and does not constitute medical advice unless provided directly by a licensed healthcare provider during a telehealth consultation.

29. REFUSAL OF SERVICE

Bowery Clinic reserves the right to refuse service or sale to anyone, for any reason.

HOLD HARMLESS.

By purchasing any product from Bowery Clinic or by using any product sold by Bowery Clinic, User agrees to hold Bowery Clinic harmless from any and all claims arising under contract, strict liability, negligence, or any other theory for harm related to the use or possession of any product.

Any medication prescribed through Bowery Clinic must be:

  • Used only by the individual for whom it was prescribed
  • Used exactly as directed by the prescribing provider
  • Not shared, sold, or transferred
  • Stored and handled according to pharmacy instructions

Bowery Clinic does not dispense or sell medications. All medications are dispensed by independent 503A compounding pharmacies.

30. AGE RESTRICTION

To use and purchase from Bowery Clinic, you must be 18 years of age or older.

31. DISCLAIMER FOR USE

All products available for purchase on Bowery Clinic that are designated as research chemicals are intended for laboratory research purposes only and are not intended for human or animal consumption.

By purchasing from Bowery Clinic, you represent that you:

  • Understand all associated risks
  • Will not use the products for medical or veterinary purposes
  • Will not administer the products to humans or animals
  • Will use appropriate laboratory safety procedures

RETURN POLICY.

All sales are final. Bowery Clinic does not accept returns.

CUSTOMER AGREEMENT.

By purchasing, you represent that you have independently researched:

  • The intended research use
  • Applicable warnings and safety concerns
  • Local regulatory requirements

32. USE OF OUR PRODUCTS

By purchasing from Bowery Clinic, User understands and agrees that Bowery Clinic's research products are not intended for human or animal consumption of any kind. If User does not understand or agree with these terms, User must not purchase from Bowery Clinic.

Products are:

  • Not intended for mixing or compounding for human administration
  • Not supplements
  • Not medical treatments
  • Not foods, cosmetics, or therapeutic agents

Any violation of these terms is done at User’s sole risk. Bowery Clinic will not be liable for damages caused by abuse, negligence, misuse, mishandling, or improper application of any product.

33. INDEMNIFICATION AGREEMENT

User agrees to indemnify and hold harmless Bowery Clinic (including its directors, officers, employees, partners, and owners) from any claim, suit, or demand, including attorney fees, made by any third party arising out of:

  • User’s use of Bowery Clinic
  • User’s violation of these Terms & Conditions
  • User’s misuse of products or content

WEBSITE AVAILABILITY.

Bowery Clinic strives to maintain uptime but may be unavailable at any time for any reason.

ENTIRE AGREEMENT.

This Agreement constitutes the entire agreement between Bowery Clinic and User, superseding all prior understandings.

34. SEVERABILITY

If any portion of these Terms is deemed unenforceable, the remainder shall remain in full force and effect.

35. FORCE MAJEURE

Neither party is liable for inadequate performance caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, or supply chain disruptions.
